EMERGENCY AND CORPORATE REQUIREMENTS:

JM Development Services LTD recognises that its Assets may have materially different commercial value depending on the manner in which they are used.

 

​

In particular, we acknowledge that certain third parties (including hosting providers, platforms, marketplaces, aggregators, distributors and other intermediaries, whether incorporated or natural persons) may derive additional value from making models available to others, or from permitting onward use outside the context of a discrete project.

 

​

This value may be in the form of increasing exposure or general use of those corporate bodies, using the goodwill we have accrued in our trade to cause indirect or knock-on profits.

 

 

Such availability-based use exposes the Company’s works to increased dissemination, loss of control, monitoring burden and commercial risk, and is, therefore, not equivalent to standard use in projects by our typical customers.

Separately, we recognises that individuals or organisations may, on occasion, seek retrospective or urgent permission in respect of past or imminent use. Any such permission involves additional administrative and commercial considerations and is treated as a distinct category of licensing.

In all cases, it will be necessary for our IP and Compliance team to understand exactly how your corporation operates, which will require disclosure from you as to your size, reach, profit and other considerations.

THEREFORE:

Scope exclusion

Standard licences are granted solely for the incorporation of models into a defined project made by the licensee and permitted by us. They do not extend to hosting, distribution, indexing, aggregation, or making models available to third parties, whether directly or indirectly.

​

For the avoidance of doubt, hosting, platform display, marketplace listing, redistribution or other forms of making the models accessible to third parties (whether in their original file form or a visual reproduction of them) are excluded from the scope of a standard licence, and must be negotiated with us beforehand, or on an emergency basis.

Corporate licences
Any use involving hosting, platform availability, redistribution, marketplace display, aggregation, or other non-project-embedded exploitation requires a separate corporate or availability-based licence, to be negotiated expressly with JM Development Services LTD.

Emergency and retrospective permission licences
Where a party seeks retrospective or urgent permission in respect of past or imminent use outside the scope of a standard licence, such permission (if offered at all) will be treated as an emergency licence and assessed separately.

 

The negotiation of any emergency licence is strictly without prejudice to JM Development Service LTD (or any of our suppliers)'s rights.

Commercial terms
Emergency, corporate, or availability-based licences are not offered automatically and are subject to individual assessment. As a minimum, such licences will be priced at:


a) the applicable base asset licence fee;


b) an additional fixed premium of £1,000 GBP reflecting scope, retrospective clearance, urgency and/or administrative burden; and
 

c) a further variable component, assessed by reference to the nature, scale, value and reach of the individual, corporate entity or platform concerned.

Negotiation and authority
All emergency, corporate or availability-based licences must be negotiated directly with JM Development Services LTD’s IP and Compliance team. No rights are granted unless and until agreed in writing.

Reservation of rights
Nothing in these passages constitutes a waiver of any accrued rights, nor an obligation to grant a licence in any particular case, which will all be assessed on their individual merits and may be denied at JM Development Services LTD's sole option and discretion.
